Terms of Service

1. Limitation of Liability

1.1 Disclaimer of Warranties

Nexuzai ("Service") is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

1.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXUZAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

Your use of or inability to use the Service

Unauthorized access to or alteration of your transmissions or data

Statements or conduct of any third party on the Service

Any other matter relating to the Service

1.3 Cap on Liability

Except for breaches of confidentiality obligations or intellectual property infringement, our total aggregate liability to you for any claims arising out of or relating to this Agreement or the Service shall not exceed the amount you paid to Nexuzai in the twelve (12) months immediately preceding the claim, or $100 USD, whichever is greater. Some jurisdictions do not allow the limitation or exclusion of liability, so this limitation may not apply to you.

1.4 Essential Basis

You acknowledge that we would not provide the Service without these limitations, and that these limitations are an essential basis of the bargain between you and Nexuzai.

2. User Conduct Rules

2.1 Prohibited Activities

Users agree not to use Nexuzai for any unlawful purpose or in violation of any applicable laws or regulations. Specifically, you agree not to:

2.1.1 Illegal Activities

Engage in any activity that is illegal, fraudulent, deceptive, or harmful

Violate any applicable local, state, national, or international law or regulation

Infringe upon or violate any intellectual property rights, privacy rights, or other rights of any party

2.1.2 System Abuse

Attempt to gain unauthorized access to the Service or its systems

Disrupt, interfere with, or degrade the performance of the Service

Introduce viruses, malware, ransomware, or other malicious code

Perform automated data scraping, harvesting, or bulk collection without authorization

Use bots, spiders, or other automated tools except as explicitly permitted

Reverse engineer, decompile, or attempt to discover the source code or underlying technology

2.1.3 Harassment and Abuse

Harass, threaten, defame, or abuse any person or entity

Engage in stalking, cyberbullying, or coordinated harassment campaigns

Post or transmit hateful, discriminatory, or violent content

Impersonate or misrepresent your identity or affiliation

2.1.4 Content Violations

Upload, post, or transmit content that is obscene, offensive, or sexually explicit

Distribute child sexual abuse material or any content sexualizing minors

Post content containing non-consensual intimate imagery

Spam, send unsolicited commercial messages, or engage in phishing

2.1.5 Privacy and Security

Collect, solicit, or harvest personal information about other users without consent

Attempt to compromise user accounts or security measures

Violate the privacy rights of any individual or entity

Share or sell personal data obtained through the Service

2.1.6 Intellectual Property

Violate any trademark, copyright, patent, or trade secret rights

Upload or share content you do not have the right to distribute

Circumvent digital rights management or access controls

2.2 Enforcement

Nexuzai reserves the right to investigate and take appropriate legal action against anyone who violates these conduct rules, including but not limited to:

Immediate account suspension or termination

Removal of prohibited content

Cooperation with law enforcement authorities

Civil or criminal prosecution

2.3 User Responsibility

You are solely responsible for your use of the Service and all content you create, upload, or transmit. You agree to indemnify and hold harmless Nexuzai from any claims, damages, or costs arising from your violation of these conduct rules or applicable law.

3. Dispute Resolution

3.1 Informal Resolution

Before initiating formal proceedings, you and Nexuzai agree to attempt to resolve any dispute informally. Either party may send written notice describing the nature of the dispute to the other party. The parties will then negotiate in good faith for thirty (30) days to attempt to resolve the dispute.

3.2 Governing Law

These Terms of Service and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of [JURISDICTION], without regard to its conflict of laws principles.

3.3 Binding Arbitration

Except as provided below, you and Nexuzai agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Service (including but not limited to claims for breach of contract, tort claims, statutory claims, and claims arising from or related to any aspect of the relationship between you and Nexuzai) shall be resolved by binding arbitration administered by [ARBITRATION PROVIDER] under its rules then in effect.

3.3.1 Arbitration Rules

3.3.2 Costs and Fees

Each party shall bear its own attorneys' fees and costs. Nexuzai shall pay the arbitration administration fees and arbitrator fees, except that you shall pay the portion of such fees that would be required in court.

3.4 Exceptions to Arbitration

The following matters are excluded from arbitration and may be brought in a court of competent jurisdiction:

Claims for infringement of intellectual property rights

Claims seeking injunctive or equitable relief to prevent irreparable harm

Claims arising from or relating to fraud, misrepresentation, or violation of law

Small claims that fall within the jurisdiction of small claims court

3.5 Class Action Waiver

YOU AND NEXUZAI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR ENTITY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.

3.6 Opt-Out Right

If you do not wish to be bound by the arbitration clause, you must opt out by sending written notice to Nexuzai within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you do not wish to arbitrate disputes with Nexuzai.

3.7 Severability

If any portion of this dispute resolution section is found to be unenforceable, the unenforceable provision shall be severed, and the remaining provisions shall remain in full force and effect. However, if the class action waiver is found unenforceable, the entire arbitration clause shall be void.

3.8 Jurisdiction and Venue

If arbitration is not permitted for a particular claim, you and Nexuzai agree that any legal proceedings shall be brought exclusively in the state or federal courts located in [JURISDICTION], and you hereby consent to the personal jurisdiction and venue of such courts.
